LICENSE AGREEMENT<\/strong><\/p>\n<\/div>\n<\/div>\n<\/div>\n

\n

(Simple Non-Exclusive License)<\/strong><\/p>\n

Moscow<\/p>\n

Regional Public Organization “International Women’s Union” (TIN: 7727435007, PSRN: 1187700012950, location address: 117437, Moscow, Akademika Artsimovicha St., 17, room 3\/1), hereinafter referred to as the “Organizer”, on the one hand, and the Author \/ legal representative of the author of photographs submitted to the International Photo Contest “Mother and Children in National Costumes” (hereinafter \u2014 the “Photo Contest”), hereinafter referred to as the “Participant”, on the other hand, jointly referred to as the “Parties”, have entered into this license agreement (hereinafter \u2014 the “Agreement”) as follows:<\/p>\n

Offer<\/strong>\u00a0\u2014 a public offer by the Organizer addressed to an indefinite circle of persons, on the terms contained in the Regulations of the International Photo Contest “Mother and Children in National Costumes” (hereinafter \u2014 the “Regulations”), as well as this Agreement.<\/p>\n

Acceptance<\/strong>\u00a0\u2014 full and unconditional acceptance by the Participant of the terms of the Regulations and this Agreement. Acceptance is the uploading of photographs by the Participant to the Photo Contest website (www.ethno-photo.com<\/a>) or submitting an application in another manner specified in the Regulations.<\/p>\n

The Participant, in accordance with Article 434 of the Civil Code of the Russian Federation, acknowledges and agrees that the written form of the transaction (placement of this Agreement and the Regulations by the Organizer on the Photo Contest website and acceptance of this Agreement and the Regulations by the Participant by uploading photographs to the Photo Contest website) is considered complied with.<\/p>\n

1. SUBJECT OF THE AGREEMENT<\/strong><\/p>\n

1.1. By participating in the Photo Contest, under the terms of this Agreement, the Participant grants the Organizer free of charge the right (a simple non-exclusive license) to use the photographs (hereinafter \u2014 the “Works”), as well as their fragments, in the ways provided for by the civil legislation of the Russian Federation, including:<\/p>\n

\u2014 reproduction of the Work, i.e., making one or more copies of the Work or part thereof in any material form;
\n\u2014 distribution of the Work by sale or other alienation of its original or copies;
\n\u2014 public display of the Work, i.e., any demonstration of the original or copy of the Work directly or on screen using technical means;
\n\u2014 import of the original or copies of the Work for distribution purposes;
\n\u2014 broadcasting, cable communication;
\n\u2014 communication to the public in such a way that any person may access the Work from any place and at any time of their own choosing (placement on the Internet, including on the official website of the contest, in the contest’s social networks, in announcements and post-materials);
\n\u2014 translation or other processing of the Work (creation of derivative works);
\n\u2014 inclusion of the Work or its fragments in any complex and composite objects (films, audiovisual works, multimedia products, databases, photo books, albums, catalogs, collections, photo albums, videos, etc.);
\n\u2014 use in exhibition activities (organization of photo exhibitions, expositions, traveling exhibitions on the territory of the Russian Federation and abroad);
\n\u2014 use in print and electronic media, on official websites and in social networks of the Organizer and its partners;
\n\u2014 use on souvenir, printing and other products (calendars, postcards, booklets, banners, prospectuses, etc.) to promote and demonstrate the national flavor of the peoples of Russia, CIS countries and foreign countries.<\/p>\n

1.2. The Participant grants the Organizer the right to publish the Works, as well as the right to use the Works in the ways provided for in this Agreement, throughout all countries of the world without restriction.<\/p>\n

1.3. The term of the simple non-exclusive license is the term of the Participant’s exclusive right to the Works from the moment of uploading the photographs to the Photo Contest website. The license is granted for the entire duration of the exclusive right.<\/p>\n

1.4. The Participant grants the Organizer the right to enter into sub-license agreements with third parties within the limits of the rights granted to the Organizer in accordance with this Agreement. The Organizer is not obliged to provide the Participant with reports on the use of the Works and on concluded sub-license agreements.<\/p>\n

1.5. The Participant agrees that the Works may be used by the Organizer for placement on souvenir, printed and other products sold by the Organizer, with the proceeds directed to statutory activities, including the organization of the Photo Contest, exhibition activities, preservation of cultural heritage and other non-commercial purposes.<\/p>\n

2. RESPONSIBILITY AND GUARANTEES OF THE PARTICIPANT<\/strong><\/p>\n

2.1. The Participant guarantees that:
\n\u2014 they are the author of the Works submitted to the Photo Contest and have the exclusive right to them;
\n\u2014 the Works do not violate the legislation of the Russian Federation, do not contain offensive information, or information contrary to moral principles and universally recognized values;
\n\u2014 the content of the Works does not violate the rights of third parties;
\n\u2014 if the photographs contain images of people (portrait photography), the Participant has obtained consent (model release) from the depicted persons for publication and further use of the photographs in the ways provided for in this Agreement. For minors, such consent has been obtained from their legal representatives.<\/p>\n

2.2. If third parties challenge the Organizer’s right to use the Works, the Participant is obliged to participate in the proceedings on the Organizer’s side and prove the legality of the use of the Works. In the event that the Organizer is held liable, the Participant is obliged to compensate the Organizer for incurred losses, including legal expenses.<\/p>\n

2.3. The legal representative of a minor participant guarantees that they are indeed the legal representative of the child \u2014 the author of the submitted Works.<\/p>\n

2.4. Copyright in the Works submitted to the Photo Contest remains with the authors of the respective photographs. When using the Works, the Organizer undertakes to indicate the author’s name and the title of the photo work.<\/p>\n

3. TERM AND TERMINATION OF THE AGREEMENT<\/strong><\/p>\n

3.1. This Agreement comes into force from the moment the Participant uploads photographs to the Photo Contest website and is valid until the Parties fully fulfill their obligations.<\/p>\n

3.2. This Agreement may be terminated on the grounds provided for by the legislation of the Russian Federation.<\/p>\n

4. OTHER CONDITIONS<\/strong><\/p>\n

4.1. Uploading photographs to the Photo Contest website confirms that the Participant understands all the terms of this Agreement and the Regulations, is aware of the legal consequences of non-fulfillment of the terms, agrees with the terms of this Agreement and the Regulations, and also understands and agrees with the scope of rights transferred to the Organizer. Submitting photographs and materials to the contest constitutes full and unconditional agreement with the contest conditions. Photographs submitted to the contest are not returned.<\/p>\n

4.2. All funds received from the use of the Works (if any) are directed by the Organizer strictly to statutory activities, including the organization and conduct of the Photo Contest, promotion of the Photo Contest, exhibition activities, preservation of cultural heritage and strengthening family values.<\/p>\n

4.3. Participation in the Photo Contest (the fact of registration on the Photo Contest website and completion of the registration form) means consent to the processing of the Participant’s personal data (including last name, first name, patronymic, gender, date of birth, identity document details, citizenship, educational institution, contact information) in accordance with the legislation of the Russian Federation on personal data and the Organizer’s Personal Data Processing Policy, as well as consent to the publication of photographs of the participant and their minor children.<\/p>\n

4.4. All disputes and disagreements that may arise out of or in connection with this Agreement shall be resolved in accordance with the procedure established by the legislation of the Russian Federation.<\/p>\n

4.5. All issues not regulated by this Agreement are governed by the legislation of the Russian Federation. The rights of authors are respected in accordance with the Civil Code of the Russian Federation.<\/p>\n<\/div>\n<\/div>\n
